Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GateMonitor™ platform, including the website at gatemonitor.com, the web application, GateLink hardware devices, and all related services (collectively, the "Service"), provided by Gate Monitor, LLC ("GateMonitor," "we," "us," or "our").

By creating an account, installing GateLink hardware, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account Registration & Eligibility

• You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
• You agree to provide accurate and complete information during registration and to keep your account information current.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• Each organization account is managed by one or more designated administrators ("Org Admins") who are responsible for managing users, properties, and gates within the platform.

2. Service Description

GateMonitor provides a cloud-based access control platform for gated communities, apartment complexes, HOAs, and managed properties. The Service includes:

• Access Management: Tools to manage authorized residents, visitors, and access schedules for gate-controlled properties.
• Gate Hardware Integration: Connectivity with GateLink relay devices (cellular, WiFi, and Ethernet models) to control physical gate operators.
• Verification & Access: Phone-based identity verification via QR code scanning, phone calls, and SMS to grant or deny gate access.
• Monitoring & Logs: Real-time access event logging, reporting, and audit trails.
• Visitor Management: Guest passes, temporary access codes, and visitor notification systems.
• Integrator Portal: Tools for certified installation partners to manage deployments, training, and customer relationships.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any aspect of the Service or GateLink hardware.
• Use the Service to send unsolicited bulk messages (spam) or for any purpose unrelated to access control.
• Share your account credentials with unauthorized individuals.
• Resell, sublicense, or redistribute the Service without written authorization from GateMonitor.
• Tamper with, modify, or disable GateLink hardware in a manner not authorized by GateMonitor or a certified integrator.

4. SMS & Communications Consent

The Service uses SMS (text messaging) and phone calls as core components of the access verification system. By using the Service, you consent to receive:

• Transactional SMS messages related to gate access verification, visitor notifications, and system alerts.
• Phone calls initiated by the GateLink hardware for call-in access verification.
• Service-related email communications including billing notices, security alerts, and feature updates.

Standard message and data rates from your mobile carrier may apply. Message frequency varies based on your usage. You may opt out of non-essential notifications at any time. Reply STOP to any SMS to unsubscribe from non-essential messages. Reply HELP for support information.

5. Subscription & Billing

• The Service is offered on a subscription basis. Pricing details are available at gatemonitor.com/pricing.
• Subscriptions are billed monthly in advance. Additional usage charges (such as SMS overages, additional gates, or tenant capacity adjustments) are billed in arrears.
• You authorize us to charge your designated payment method for all fees incurred under your account.
• All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
• We reserve the right to modify pricing with 30 days’ written notice. Continued use after the notice period constitutes acceptance of the new pricing.

6. GateLink Hardware

• GateLink devices are sold or provided as part of starter packages. Title to hardware passes to the purchaser upon delivery.
• GateLink hardware is designed for professional installation by certified GateMonitor integrators. Improper installation may void any applicable warranty.
• GateLink hardware requires an active GateMonitor subscription and cellular/internet connectivity to function. The hardware does not operate as a standalone product.
• SIM cards provided with cellular GateLink devices remain the property of GateMonitor or its cellular partner and are subject to the cellular provider’s terms of service.
• Hardware warranty terms, if applicable, are provided separately with the hardware documentation.

7. Data Ownership & Intellectual Property

• Your Data: You retain ownership of all data you upload or create within the Service (resident lists, property information, access schedules). You grant us a limited license to use this data solely to provide the Service.
• Our Platform: The Service, including all software, design, branding, trademarks (GateMonitor™, GateLink™), documentation, and proprietary technology, is owned by Gate Monitor, LLC and protected by intellectual property laws.
• Feedback: If you provide suggestions or feedback about the Service, you grant us the right to use that feedback without obligation to you.

8. Certified Integrator Partners

Certified integrator partners operate as independent contractors, not employees or agents of GateMonitor. While we certify integrators through our training program, GateMonitor is not responsible for the quality of installation work performed by integrators. Disputes regarding installation services should be resolved directly with the integrator.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

GateMonitor does not guarantee that the Service will be uninterrupted, error-free, or secure. Access control systems are one component of a property’s overall security infrastructure. GateMonitor is not a substitute for comprehensive security measures, including but not limited to on-site security personnel, surveillance systems, and physical barriers.

The Service depends on third-party infrastructure including cellular networks, internet connectivity, and cloud hosting services. GateMonitor is not liable for outages or performance degradation caused by third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATE MONITOR, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

GATEMONITOR IS NOT LIABLE FOR ANY UNAUTHORIZED ACCESS TO OR BREACH OF A PROPERTY THAT OCCURS WHILE USING THE SERVICE. PROPERTY OWNERS AND MANAGERS ARE SOLELY RESPONSIBLE FOR THEIR OVERALL SECURITY INFRASTRUCTURE.

11. Indemnification

You agree to indemnify and hold harmless Gate Monitor, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

• You may cancel your subscription at any time through your account settings or by contacting support.
• We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activity that harms the Service or other users.
• Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted.
• GateLink hardware will cease to function for access control purposes upon account termination, as it requires an active subscription.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Clark County, Nevada, unless you qualify for small claims court. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms with a revised "Last updated" date and, where appropriate, by sending you an email notification. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
